Terms of service
The terms on which we provide Msomi to your school, and on which you use this website.
In short: you subscribe per school, you keep ownership of your data and can export it at any time, we keep the service running and secure, and either of us can end the arrangement with notice.
1. These terms
These terms govern use of the Msomi school management system and the msomionline.com website. Where your school has signed a separate written agreement with us, that agreement takes precedence over anything here that conflicts with it.
2. Subscriptions
Msomi is licensed per school on a subscription, across the Trial, Basic, Standard, Premium and Enterprise tiers. Subscriptions may be billed monthly, termly or annually, as agreed at the point of purchase. Fees are quoted in Kenya Shillings and are exclusive of any applicable taxes unless stated otherwise.
The Trial tier is provided free for one academic term. At the end of the trial you may subscribe to a paid tier, or end the arrangement — in which case you may export your data before it is removed.
3. Payment
Invoices are due by the date stated on them. We may suspend access to an account that remains unpaid after written reminders, but we will not delete school data while a dispute about payment is being resolved in good faith, and we will always allow an export of your data before any deletion.
4. Your data
Your school owns its data. We claim no ownership of learner records, staff records, assessment data, financial records or anything else you enter into Msomi.
We process that data only to provide the service to you, in accordance with our privacy notice and the data processing agreement between us. We do not sell it, mine it for our own commercial purposes, or use it to train systems for other customers.
You may export your data to Excel at any time, without asking us and without a support request.
5. Your responsibilities
- Ensuring the accuracy of the data you enter
- Granting staff only the access their role requires, and removing it promptly when they leave
- Keeping account credentials confidential, and telling us promptly of any suspected compromise
- Meeting your own obligations as data controller under the Data Protection Act 2019
- Using the service lawfully, and not attempting to access another school's data
6. Availability and support
We aim for high availability and will give reasonable advance notice of planned maintenance, scheduling it outside Kenyan school hours wherever we can. Support response times depend on your tier, as set out on the pricing page. Enterprise customers receive a separate service level agreement.
We do not guarantee uninterrupted service. Events outside our reasonable control — including failures of internet connectivity, power, or third-party infrastructure — may affect availability.
7. Changes to the service
We improve Msomi continuously and may add, change or withdraw features. We will not remove a material feature your subscription depends on without reasonable notice and, where the change materially reduces the value of what you bought, the option to end your subscription and receive a pro-rata refund of fees paid in advance.
8. Ending the agreement
You may end your subscription at the end of your current billing period by telling us in writing. We may end it if you materially breach these terms and do not remedy the breach within 30 days of written notice.
On termination you have 60 days to export your data, after which we delete it from our production systems, with backups expiring on their normal cycle.
9. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, neither party is liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees paid by your school in that period.
Msomi is a record-keeping system. It supports your decisions; it does not make them. Responsibility for decisions about learners, staff and finances remains with the school.
10. Intellectual property
We retain all rights in the Msomi software, its interface and its documentation. Your subscription grants your school a non-exclusive, non-transferable right to use it for the duration of the subscription. You retain all rights in your own data and content.
11. Governing law
These terms are governed by the laws of Kenya, and the courts of Kenya have exclusive jurisdiction over any dispute arising from them.
